Plan of Merger
In connection with the intended merger of SEC NEWGATE CEE spółka z ograniczoną odpowiedzialnością with its registered office in Warsaw at ul. Krakowskie Przedmiescie 13, entered in the Register of Entrepreneurs of the National Court Register under KRS no.: 0000879140, registration court: District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register, NIP: 5213918339 REGON: 387909319, with a share capital of 5. 000.00 zł (“Acquiring Company”) with a company under the name of SEC NEWGATE POLSKA spółka z ograniczoną odpowiedzialnością, with registered office in Warsaw at ul. Bukowinska 22/14b, entered in the Register of Entrepreneurs of the National Court Register under KRS no.: 0000657315, registration court: District Court for the Capital City of Warsaw, XIII Commercial Division of the National Court Register. Warsaw, XIII Commercial Division of the National Court Register, NIP: 5213762765 REGON: 366287430 with share capital of PLN 10,000.00 (“Target Company”), the management boards of the companies, acting pursuant to art. 498 et seq. of the Act of 15 September 2000. Code of Commercial Partnerships and Companies (Journal of Laws 2000 no. 94 item 1037 as amended, hereinafter: CCC), on 30 January 2023 agreed on a plan of merger of the aforementioned companies (the “Plan of Merger”).
Accordingly, the Management Board, pursuant to Article 500 § 2 § 2 and index 1 of the Code of Commercial Partnerships and Companies. hereby makes the Merger Plan and its appendices available to the public free of charge.

The Management Board of the Company announces that, pursuant to Article 500 § 2 § 2 and with index 1 of the Code of Commercial Partnerships and Companies, the Merger Plan shall be made available to the public at least one month prior to the date of commencement of the shareholders’ meeting at which the resolution on the merger is to be adopted, continuously until the date of conclusion of the meeting adopting the resolution on the merger.
